1. Agreement and Eligibility

These Terms of Service ("Terms") are a binding agreement between you and [PaprFlow, Inc. — confirm entity name upon formation] ("PaprFlow," "we," "us"), the operator of the PaprFlow service at https://paprflow.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Who May Use PaprFlow:

You must be at least 18 years old and an educational professional (such as a special education teacher, administrator, school psychologist, or related school staff) to use PaprFlow. By signing up for an account, you represent that:

You are 18 years or older;
You are an educational professional employed by or acting in an official capacity for a K-12 school or school district;
You have the authority under your school or school district's policies and procedures to access, use, and upload student educational records and documents to PaprFlow;
Any student information you provide or upload has been obtained in your official capacity and in compliance with applicable law.

If you are signing up on behalf of a school district, you represent that you are authorized to enter into this agreement on behalf of that district.

2. Accounts and Security

Account Responsibility:

You are responsible for maintaining the confidentiality of your account login credentials and password. You agree not to share your account access information with anyone else. You are responsible for all activities that occur under your account, whether or not you authorized them.

Accurate Information:

You agree to provide accurate, complete, and current information when creating your account and using the Service. You are responsible for updating your information if it changes.

Account Security Practices:

You agree to implement reasonable security practices when using PaprFlow, such as:

Using a strong, unique password and changing it regularly;
Not leaving your account logged in on shared or public computers;
Logging out when you finish using the Service;
Reporting unauthorized access or suspicious activity immediately to support@paprflow.com.

PaprFlow uses industry-standard security measures to protect your account, but no security system is impenetrable. You acknowledge the inherent risks of online services and agree that PaprFlow is not liable for unauthorized access resulting from your failure to maintain account security.

3. License Grant

Limited License:

Subject to your compliance with these Terms, PaprFlow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for lawful, internal educational and professional purposes consistent with your role as an educational professional. This license does not include the right to:

Sublicense, resell, rent, lease, transfer, or franchise the Service;
Use the Service for any commercial purpose outside your professional educational duties;
Remove or alter any proprietary notices, labels, or marks;
Use the Service in any manner that could damage, disable, overburden, or impair the Service or its servers.

Permitted Use:

You may use the Service to draft, review, and generate IEP documents, including Present Levels, goals, and annual updates, and to manage student records in your official capacity as an educator. Standard assistive technologies (such as screen readers) and ordinary professional automation tools are permitted for accessibility and reasonable efficiency.

Restrictions:

You may not:

Use automated systems, scripts, bots, or tools to harvest data, circumvent access controls, or perform unauthorized bulk extraction;
Attempt to reverse engineer, decompile, disassemble, or derive the source code, algorithms, or proprietary methods of the Service;
Attempt to re-identify, decode, or reverse any redacted or de-identified student data;
Engage in any activity that abuses, overloads, or disrupts the Service or its infrastructure;
Use the Service in any unlawful manner or in violation of any applicable federal, state, or local law or regulation.

4. Customer Content and Ownership

Your Ownership:

You retain all right, title, and interest in any content you create, upload, or generate through PaprFlow ("Customer Content"), including all documents, notes, student records, and IEP drafts. This includes content generated by PaprFlow's AI tools based on your inputs.

PaprFlow's Limited License:

By uploading, storing, or processing Customer Content through PaprFlow, you grant PaprFlow a limited, non-exclusive license to use, copy, process, transmit, and display Customer Content solely to the extent necessary to:

Operate, maintain, and provide the Service to you;
Generate AI-assisted drafts and suggestions based on your uploaded documents;
Store and encrypt your data as part of the Service;
Comply with legal obligations and law enforcement requests.

PaprFlow will not use your Customer Content for any other purpose, including training or improving its own AI models, selling it to third parties, or using it for marketing purposes.

Feedback Exception:

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant PaprFlow a worldwide, royalty-free, perpetual license to use, incorporate, and build upon that Feedback in any manner without further obligation to you.

Data Export and Deletion:

You may export your Customer Content at any time through the Settings → Account → "Export my data" feature, which decrypts your data in your browser and provides it as a JSON file. You may also delete your account and all associated Customer Content through Settings → Account → "Delete account" (with typed confirmation). Upon account deletion, all Customer Content is permanently deleted from PaprFlow's active systems, effective immediately.

5. AI-Generated Output Disclaimer

Nature of Output:

PaprFlow uses artificial intelligence (currently Google's Gemini model) to generate draft IEP content based on documents and information you provide. You understand and agree that:

Draft Only: All PaprFlow output is a machine-generated draft and may contain errors, omissions, or inaccuracies. The output is not final and is not suitable for use without review and approval.
Human Review Required: You and your IEP team must carefully review, edit, and approve all generated content before finalizing or submitting any IEP document. PaprFlow does not replace professional judgment or the IEP team's authority.
Not Professional Advice: PaprFlow output does NOT constitute legal advice, medical advice, educational advice, or clinical recommendations. It is an assistive tool only.
Your Responsibility: You and your school/district remain fully responsible for the accuracy, completeness, and appropriateness of all IEP content, including ensuring compliance with the Individuals with Disabilities Education Act (IDEA), Section 504 of the Rehabilitation Act, and all applicable federal, state, and local special education laws and regulations.
Limitation of Liability for AI Output: PaprFlow is not liable for errors in AI-generated content, including but not limited to inaccurate goals, incorrect Present Levels, or mischaracterization of student needs or services. You assume all risk associated with reliance on AI-generated drafts.

No Medical or Educational Diagnosis:

PaprFlow does not diagnose disabilities, prescribe interventions, or provide clinical opinions. Any clinical or diagnostic determinations must be made by qualified professionals (psychologists, physicians, speech pathologists, etc.) and must not be delegated to or substituted by PaprFlow.

6. Student Data and Educational Records

Authority and Compliance:

By uploading, storing, or entering student records into PaprFlow, you affirm that you have the legal authority to do so and that your use complies with:

The Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. § 1232g;
The Individuals with Disabilities Education Act (IDEA), 20 U.S.C. § 1400 et seq.;
California's Student Online Personal Information Protection Act (SOPIPA), Cal. Bus. & Prof. Code § 22584;
Your school or school district's student records policies and procedures;
Any applicable state and local education codes.

Data Storage and Encryption:

Student roster information (such as student name, grade, disability category, and next-IEP review date) is encrypted at the field level using application-layer encryption, in addition to database encryption at rest. Only non-identifying metadata (such as domain or status) is stored unencrypted.

Document Upload and Automatic Redaction:

When you upload evaluation documents or other educational records to PaprFlow:

The uploaded files are converted to text;
Personally identifiable information (including names, birthdates, social security numbers, and identifying details) is automatically redacted;
The redacted content is temporarily sent to Google's Gemini API for AI processing;
The original uploaded file is DELETED immediately after processing, whether the generation succeeds or fails;
Uploads are not retained in PaprFlow's systems.

Prior-Year IEPs and Annual Updates:

Prior-year IEP documents are never stored in PaprFlow. When you provide a prior IEP for context during an annual update:

It is processed through the same extract, redact, and delete pipeline as evaluation documents;
Only an encrypted summary of changes (the "delta") approved by you is retained;
The original prior-year document is deleted immediately after processing.

No AI Training:

Student data is NEVER used by PaprFlow to train, improve, or fine-tune any AI models, whether PaprFlow's own models or Google's Gemini models. PaprFlow's use of the Google Gemini API is governed by an agreement that explicitly prohibits Google from using student data for model training or improvement. [Founder: confirm paid-tier Gemini API terms are in effect.]

SOPIPA Compliance:

PaprFlow complies with California's Student Online Personal Information Protection Act (SOPIPA). PaprFlow does not:

Engage in targeted advertising based on student personal information;
Sell, share, or disclose student personal information to third parties for marketing or commercial purposes;
Profile students for non-educational purposes;
Retain student records longer than necessary to provide the Service.

School Official Role and Data Processing:

Individual Teacher Accounts: You are responsible for ensuring that your use of student records in PaprFlow complies with FERPA and your school or district's policies — including any requirement that your school or district authorize the use of outside service providers such as PaprFlow (for example, by designating them as 'school officials' under FERPA's school-official exception, 34 CFR 99.31(a)(1)). PaprFlow processes the records you provide solely to deliver the Service to you and for no other purpose.
District Contracts (Future): For school districts that enter into a direct contract with PaprFlow, PaprFlow may act as a "school official" or data processor under the district's control. In such arrangements, student records are used solely to provide the contracted service and are not re-disclosed or used for PaprFlow's own purposes.

Data Breaches:

In the event of an unauthorized access to or breach of student data, PaprFlow will notify affected users and schools without unreasonable delay (consistent with applicable law, including California's data breach notification requirements).

COPPA:

PaprFlow is not directed to children under 13 and does not knowingly collect information directly from any child. Student records about children are provided by school personnel in their official capacity as educators.

7. Subscriptions and Billing

Subscription Plans:

PaprFlow offers:

A free starter plan ($0 per month) with base features;
Paid subscription plans billed monthly or annually at published rates.

Prices are displayed on the PaprFlow website (https://paprflow.com) and are subject to change.

Billing and Payment:

Paid subscriptions are billed through Stripe, our payment processor. By providing your payment information, you authorize Stripe to charge your payment method for your subscription. Stripe handles all payment processing and does not share your full payment card numbers with PaprFlow—only a secure token.

Automatic Renewal:

Your subscription automatically renews at the end of each billing period (monthly or annually, depending on your plan) unless you cancel. You will be charged the renewal price in effect at the time of renewal. By subscribing to a paid plan, you acknowledge and agree to automatic renewal.

Price Changes:

PaprFlow may change subscription prices with at least 30 days' notice. Price increases will be announced via email and/or in-app notification. If you do not wish to accept the new price, you may cancel your subscription before the increase takes effect. Continued use after the effective date of a price change constitutes acceptance of the new price.

Cancellation:

You may cancel your subscription at any time through Settings → Billing → "Cancel Subscription." Cancellation takes effect at the end of your current billing period; you will retain access to paid features through the end of that period. No refunds or credits are issued for partial months. To reactivate a canceled subscription, you may re-subscribe through Settings → Billing.

Beta Features:

During PaprFlow's private beta period, access to the Service may require an invite code and may be modified, limited, or ended at any time. Some PaprFlow features may be labeled "beta" or "experimental." Beta features are provided on an "as-is" basis without any warranty or guarantee of continued availability. PaprFlow may modify, suspend, or discontinue beta features at any time without notice or liability. Beta access is also free unless specifically marked otherwise.

Free Tier Terms:

The free starter plan is offered as-is and may be modified, limited, or discontinued at any time. Upgrading to a paid plan does not entitle you to retain free-plan features or guarantee future availability of free-plan access.

Billing Errors and Refunds:

Subscription fees are non-refundable except where required by law or in the case of a billing error. If you believe you were billed in error, contact support@paprflow.com within 30 days of the charge and we will investigate and correct verified errors.

8. Acceptable Use

You agree not to use PaprFlow:

To upload, store, or transmit any unlawful content or to facilitate any illegal activity;
To upload student records or educational data you do not have the authority to access or share (violating FERPA, IDEA, school policy, or other applicable law);
To attempt to re-identify, decrypt, or reverse any redacted or de-identified data;
To conduct any security testing, penetration testing, or vulnerability assessment without explicit written permission;
To reverse engineer, decompile, or attempt to derive the proprietary technology, algorithms, or methods of PaprFlow;
To scrape, crawl, or systematically extract or copy data from the Service for any unauthorized purpose;
To abuse, overload, or conduct denial-of-service attacks against the Service;
To impersonate any person or entity, including PaprFlow staff;
To misrepresent your identity, qualifications, or authority to use the Service;
To harass, threaten, defame, or abuse any PaprFlow user, staff member, or any person;
To transmit viruses, malware, or any code designed to harm or disrupt the Service;
To use the Service in any manner that violates any applicable federal, state, or local law or regulation.

Violation of this section may result in immediate suspension or termination of your account and potential legal action.

9. Termination

User Right to Delete Account:

You may delete your account at any time. Deletion is initiated through Settings → Account → "Delete account," which requires you to type confirmation. Upon deletion:

Your account is permanently closed;
All Customer Content (uploaded documents, student records, generated drafts, and notes) is immediately and permanently deleted from PaprFlow's active databases;
Your access to the Service is terminated.

PaprFlow's Right to Suspend or Terminate:

PaprFlow may suspend or terminate your account if:

You violate any material term of these Terms or our Privacy Policy;
You engage in illegal activity or activity that harms the Service or other users;
You upload student records without proper authority;
Your school or district instructs PaprFlow to suspend or terminate your account;
You fail to pay fees for a paid subscription after 30 days' notice.

PaprFlow will provide notice of suspension or termination by email (to your account email address) except in cases of urgent security concerns, in which case notice may be delayed.

Effect of Termination:

Upon termination, for any reason:

Your access to the Service is immediately revoked;
All Customer Content is deleted as described in Section 4;
Hashed audit log entries (which cannot be linked back to you personally) and legally required billing records (such as Stripe transaction records necessary for tax compliance) may be retained;
Any fees owed remain due and payable.

10. Warranty Disclaimer

As-Is Service:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. PAPRFLOW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of MERCHANTABILITY, fitness for a particular purpose, or non-infringement;
Warranties that the Service will be uninterrupted, error-free, or secure;
Warranties that the Service will meet your needs or expectations;
Warranties regarding the accuracy or completeness of AI-generated content.

No Guarantee of Results:

PaprFlow does not guarantee that using the Service will result in compliant IEPs, approved goals, or any particular educational outcome. The Service is an assistive tool; final IEP content and decisions remain the responsibility of you and your IEP team.

Third-Party Content:

Any content, services, or products provided by third-party processors (such as Stripe, Supabase, or Google Gemini API) are provided by those third parties under their own terms and warranties. PaprFlow is not responsible for third-party services or content.

11. Limitation of Liability

Cap on Damages:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPRFLOW'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS, DAMAGES, AND LOSSES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF:

The total amount you paid to PaprFlow in the 12 months immediately preceding the claim; OR
$100.00 USD

This limitation applies whether liability arises from breach of contract, tort (including negligence), strict liability, or any other legal theory, and applies even if PaprFlow has been advised of the possibility of such damages.

No Consequential Damages:

IN NO EVENT SHALL PAPRFLOW BE LIABLE FOR:

Indirect, incidental, special, or consequential damages;
Loss of profits, revenue, data, or business opportunity;
Loss of use or productivity;
Any damages arising from loss of or harm to student records or educational data;
Damages arising from errors in AI-generated content;
Damages arising from your reliance on the Service or its output;
Damages arising from unauthorized access to your account (if resulting from your failure to secure your credentials).

Exceptions:

The limitations in this section do not apply to:

Either party's indemnification obligations;
Your infringement of PaprFlow's intellectual property rights;
Your violation of applicable law;
Damages that cannot be limited by law (such as certain consumer protection claims in some jurisdictions).

12. Indemnification

You agree to indemnify, defend, and hold harmless PaprFlow [PaprFlow, Inc. — confirm entity name upon formation], its officers, directors, employees, agents, and subsidiaries from and against any claims, damages, liabilities, and costs (including reasonable attorneys' fees) arising from or related to:

Your violation of these Terms or any applicable law;
Your use of the Service in violation of your school or district's policies;
Your upload, storage, or disclosure of student records without proper authority or in violation of FERPA, IDEA, SOPIPA, or other applicable law;
Your violation of any third party's intellectual property, privacy, or other rights;
Your Customer Content (including any inaccuracies, omissions, or unlawful content therein);
Any claims arising from reliance on AI-generated output you failed to properly review;
Your breach of any representation or warranty in these Terms.

13. Governing Law and Dispute Resolution

Governing Law:

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

Venue and Forum:

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state and federal courts located in San Bernardino County, California. You irrevocably consent to the jurisdiction and venue of these courts.

Informal Negotiation:

Before initiating any legal proceeding, both parties agree to attempt to resolve the dispute through good-faith informal negotiation. Either party may initiate this process by sending written notice to the other party's contact email (support@paprflow.com for PaprFlow, or your registered account email for you) describing the dispute, the relief sought, and a proposed resolution. Both parties agree to negotiate in good faith for at least 30 days. If the parties cannot resolve the dispute during this 30-day period, either party may pursue formal legal action.

Small-Claims Option:

Notwithstanding the above, either party may bring a claim in small-claims court if the claim qualifies and if the claimant follows applicable small-claims court procedures.

NO Arbitration:

You acknowledge that PaprFlow will not subject you to mandatory arbitration or international arbitration. Disputes shall be resolved exclusively through negotiation and, if necessary, through courts in San Bernardino County, California as described above.

14. Modifications to Terms

Right to Modify:

PaprFlow may modify these Terms at any time. Material changes will be effective 30 days after notice to you via email (sent to your registered account email address) or via in-app notification prominently displayed when you log in.

Notice and Acceptance:

You will receive clear notice of any material modification, including the effective date of the change. If you do not agree to the modified Terms, you may delete your account and discontinue use of the Service before the effective date. Continued use of the Service after the effective date constitutes your acceptance of the modified Terms.

Minor Updates:

PaprFlow may make non-material clarifications or corrections to these Terms at any time without notice. These updates will be reflected in the "Last updated" date at the top of this document.

No "Waiver of Notice":

You will NOT be deemed to have waived your right to notice of material changes by remaining silent or by failing to explicitly opt out. Clear, affirmative notice is required.

15. Electronic Communications

You consent to receiving electronic communications from PaprFlow, including:

Account notifications and updates via email to your registered account email address;
Service announcements and policy changes via email and/or in-app notifications;
Support communications via email or through your account dashboard.

You agree that these electronic communications satisfy any legal requirement for written notice. You may update your communication preferences (such as email frequency) through your account Settings, but you cannot opt out of essential service communications or legal notices.

16. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be severed. The remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements you have accepted, constitute the entire agreement between you and PaprFlow regarding the Service and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral. No representations, warranties, or agreements not expressly set forth in these Terms are valid or binding.

18. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without PaprFlow's prior written consent. Any attempted assignment in violation of this section is void. PaprFlow may assign its rights or obligations under these Terms without your consent.

19. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms caused by events or circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor strikes, utility failures, or government actions. The affected party shall provide prompt notice and use reasonable efforts to resume performance. This clause does not excuse payment of fees.
